The Kenya Petroleum Oil Workers Union has moved to the High Court seeking to nullify the appointment of Faith Bett Boinett as chairperson of the Kenya Pipeline Company (KPC) Board of Directors.
In the petition, the union is also asking the court to suspend the implementation of key decisions made by the KPC board, arguing that the board’s composition and subsequent actions violate the Constitution and corporate governance laws.
The case centres on claims that the appointment and reappointment of Boinett as board chair breached constitutional provisions on leadership, integrity and public service.
The petitioners further argue that the appointment contravened the Conflict of Interest Act, the Companies Act and the Mwongozo Code of Governance for State Corporations.
The union has also raised concerns over transport and storage agreements involving Fastnett Energy Limited, claiming they present a conflict of interest.
In the petition, the union is seeking a declaration that Boinett’s appointment is unconstitutional, unlawful and invalid.
“A declaration be and is hereby issued that the decision for the appointment and/or re-appointment of the 1st Respondent as the chairperson of the Board of Directors of the 11th Respondent… is therefore, unconstitutional, unlawful, invalid, null and void,” the petition states.
The petitioners are also seeking an order of certiorari to quash the appointment.
In addition, the union wants the court to stop the implementation of several strategic decisions made by the current board, including the ongoing recruitment of a managing director.
It argues that the directors have been operating as a caretaker board with limited powers following changes to KPC’s status in April this year.
The petition further seeks orders suspending major capital investment projects, including planned crude oil initiatives and the upgrade of the company’s enterprise resource planning (ERP) system, until Uganda appoints its representative to the board.
The union is also asking the court to halt proposed changes to KPC’s staff medical scheme and declare several resolutions passed by the board since April 22, 2026 unconstitutional and invalid.
